Bill began his legal career at the large, Atlanta-based national law firm of Smith, Gambrell & Russell, LLP, in the commercial real estate area. Over the course of his tenure with the firm, Bill’s practice included multi-state construction and permanent lending for large regional and national banks such as Wachovia and Wells Fargo, multifamily and other general commercial acquisitions and development projects (also on a multi-state basis), commercial leasing (industrial, retail and office), non-judicial foreclosures, and workouts. Transactions included several multi-million dollar and multi-state leveraged buy-outs and sale/leasebacks. Bill served as outside general counsel-real estate for a leading national furniture retailer (Haverty Furniture Companies, Inc.) handling all of their real estate and leasing matters, and also served as outside general counsel for a large regional developer of multifamily, condominium and office projects (Julian LeCraw & Company, Inc.). In addition, Bill served as the Chairman of the firm’s real estate section firm wide, a 5-year term on the firm’s governing executive committee, and as Managing Partner of the firm’s Jacksonville, Florida office.

Bill left the firm in 2004 to become the General Counsel of a closely-held national real estate investment/development company (Montecito Property Company, LLC/Montecito Medical Investment Company, LLC), and worked closely with senior management and business partners in strategic planning and the overall company decision making process. Bill was responsible for the general oversight of all legal work for the acquisition of and financing for over $2 Billion of multifamily and medical related real estate, including the acquisition, conversion and development of apartments and medical office buildings in multiple states. Legal work included purchase and sale agreements, private placements, property management and leasing agreements, brokerage and marketing agreements, partnership development joint ventures, debt and institutional equity placement, non-disclosure and confidentiality agreements, and loan document review and negotiation.

Over the course of his 30+ year career, Doug has been a partner in a substantial Richmond, Virginia law firm; the Vice President – Law and General Counsel of CSX Transportation, Inc., one of the nation’s largest railroads; and a shareholder of two prior small Jacksonville, Florida law firms. In addition, he has served as an officer and director of a closely held company and has been on the boards of a variety of professional and civic groups.

Doug’s practice focuses on all aspects of corporate and business legal issues, including entity formation; corporate documentation, including limited liability company operating agreements and shareholder agreements; mergers, acquisitions and divestitures; debt and equity financing (including the private placement of securities); and all forms of corporate contracts.

Doug has led or participated in numerous municipal bond and corporate financing transactions involving hundreds of millions of dollars, as well as smaller business financings for closely held corporate clients.

Wade is a commercial real estate attorney and consultant, blending almost two decades of experience in private practice and business. Beginning his career in the commercial real estate group of a Top 10 Atlanta law firm, he transitioned into the real estate industry in 2001, serving as CEO of a regional development company with operations throughout the Southeast. Following the sale of his ownership interest in 2007, he founded Beavers Transaction Group as a platform to provide synthesized legal and business counsel to clients seeking unique solutions in the midst of the real estate crisis.

Focusing on the strategic and financial issues which shape real estate transactions, Wade has practical experience as both an attorney and a client in a broad range of real estate matters, including commercial and residential developments, complex credit facilities, financial modeling, entitlements, and loan workouts and restructurings. He is currently serving as Special Counsel for the second largest bank in Georgia, managing the strategic and legal issues affecting the bank’s special asset portfolio, and represents an array of clients involved in restructuring or recovery of stressed real estate assets.

Recognizing that legal counsel must complement, not drive, business objectives, Wade’s practice focuses on providing unique and innovative solutions for real estate lenders, developers and investors.

Over the course of her 40 year career, Jan has been a senior paralegal at the large New York based international law firm of LeBoeuf, Lamb, Greene & MacRae, LLP, and a senior real estate paralegal at the large Atlanta based national law firm of Smith, Gambrell & Russell, LLP, specializing in both residential and commercial real estate.

Jan has served as the Vice President of Due Diligence and Entitlements of Montecito Property Company, LLC, and of Montecito Medical Investment Company, LLC. Her responsibilities included establishing and running the residential closing department of the second-largest condominium converter in the country in 2005 (Montecito Property Company) for several years, and was generally in charge of the entire residential closing process from start to finish. In connection with this extremely high monthly volume of sales, Jan’s responsibilities included interfacing with buyers, lenders, mortgage companies and title companies through all aspects of the closings, from the contract stage to closing and funding. Her expertise also covers the intricacies of the original formation of the condominium regime, and establishing and running the Homeowner’s Associations which govern condominium and planned unit developments.

In addition to her other duties, Jan oversees Rogers & Maxwell’s title insurance agency.

Kelly is a paralegal with over 20 years of experience in the legal field. She has been a Certified Paralegal by the National Association of Legal Assistants since 1990 and has an Advanced Certification in Probate and Estate Planning. Kelly’s background includes corporate and business formations and qualifications in the State of Florida and nationwide, preparation of corporate resolutions, shareholder agreements and annual reports, corporate and business transactional work, Rule 506 security filings, legal research and public record searches of individuals and businesses, licensing filings with the Florida Department of Business and Professional Regulations, construction lien law notices and filings, and commercial and residential leases. Kelly also has a background in federal estate taxation, probate and trust administration, and estate planning. Kelly has worked with Doug in his practice since 2002. Kelly’s community involvement includes volunteering as a docent for the Jacksonville Historical Society and working with the Port of Jacksonville Pilot Club service organization in its various community projects.
